Terms of Service

By using Ads By Virtue, you agree to these terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using Ads By Virtue ("the Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Platform. These terms apply to all users: influencers, brands, publishers, and administrators.
2. Eligibility
- You must be at least 16 years old to use the Platform.
- If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these terms.
- You may not use the Platform if you have been previously suspended or banned.
- Creator (Influencer) accounts — gender policy:Creator accounts (influencers) are currently limited to male applicants, per the consensus of traditional Islamic scholars on gender-segregated business interactions. Creators of any faith are welcome as long as they respect our Shariah-compliant content requirements; the Shariah screening applies to ads, not to the creator's religion. This policy is a temporary boundary while the platform scales and will be reviewed as we expand. Female applicants are warmly invited to join our publisher program, to be notified when the program expands, or apply as a brand if they run a business. Brand and Publisher accounts are open to all genders.
3. User Accounts
- Registration: You must provide accurate and complete information. Keep your account credentials secure.
- Account types: You may register as an Influencer, Brand, or Publisher. Each account type has specific features and responsibilities.
- Verification: We may require identity verification, particularly for brands (halal certification) and publishers (site ownership). Verified accounts receive a visible badge.
- One account per person/entity: Each individual or business may maintain only one account. We reserve the right to suspend or terminate duplicate accounts or accounts engaged in circumvention of our platform limits, identity requirements, or usage restrictions.
- Account termination: We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or remain inactive for more than 12 consecutive months.
4. Shariah Compliance
All advertising content on Ads By Virtue must comply with Islamic ethical standards. This is a core, non-negotiable requirement:
- Banned categories: No advertising for alcohol, pork products, gambling, riba (interest-based financial products), tobacco, adult/inappropriate content, non-halal food, music and musical instruments, violations of Awra (Islamic Modesty Guidelines), or fraudulent products/services.
- Content screening:All ads pass through our 2-layer compliance shield (automated filtering and documented policy review). Scholar consultation, public transparency, and audit trail are planned as the platform scales. Ads By Virtue's compliance screening is a best-efforts service and does not guarantee that all prohibited content will be caught.
- Rejected content: Ads that fail compliance screening will be rejected with an explanation. Users may appeal decisions through our support system within 14 days. Appeals are reviewed by a different scholar than the initial decision.
- Mushbooh protocol: For borderline cases, content is flagged for scholar review before publication. During review, the ad is paused. Decisions are typically rendered within 48 hours. Users are notified via email and their dashboard.
- Brand responsibility: Brands are responsible for ensuring their products/services are halal. Misrepresentation of halal status is grounds for account termination.
5. Platform Rules
5.1 Influencer Obligations
- Deliver sponsored content as agreed in the campaign brief and timeline.
- Disclose sponsored content in accordance with platform guidelines and applicable advertising regulations.
- Do not promote products or services you have not personally vetted.
- Follow content submission and approval workflows.
5.2 Brand Obligations
- Provide accurate campaign briefs, budgets, and timelines.
- Pay agreed rates through the platform's escrow system.
- Do not request influencers to create content that violates platform policies.
- Respond to influencer applications within 7 days.
5.3 Publisher Obligations
- Ensure your website content aligns with platform values.
- Place ad code only on verified, owned websites.
- Do not artificially inflate impressions or clicks.
- Maintain accurate traffic and site information.
- For publisher-specific disputes (ad placement, revenue sharing, site verification), contact our support team. Publisher disputes are resolved under the same 14-day mediation process as influencer/brand disputes.
6. Payments & Fees
- Platform commission:Ads By Virtue charges a flat 20% platform fee on each completed deal, deducted from the creator's earnings. Creators keep 80% of the agreed campaign rate. This fee structure is inspired by the Islamic principle of Mudarabah (transparent profit-sharing). No additional fees are charged to brands — transparent campaign terms apply.
- Internal allocation of the platform fee: Of the 20% platform fee collected on each deal, 55% is allocated to charity (sadaqah) and 45% to our employee incentive pool (3% to the brand sourcer, 3% to the influencer sourcer, and 3% to the deal closer — summing to 9% of the total deal, i.e. 45% of the 20% platform fee). The company earns 0% from the platform fee — it earns from other revenue streams. This Mudarabah-inspired sub-allocation is a core, non-negotiable brand promise and is disclosed identically across our public marketing pages, FAQ, and team communications. Math check: 55% + 45% + 0% = 100% of the platform fee.
- Escrow: Brand payments are held in manual escrow until the influencer delivers approved content. Funds are released upon brand approval or automatically after 14 days if no action is taken. Brands may request a 7-day extension if revisions are needed in good faith.
- Payouts: Influencer and publisher payouts are processed through Payoneer. Minimum payout thresholds apply.
- Refunds: Refunds are only issued in the event of a material breach of the agreed-upon Campaign Brief or failure to deliver the content by the specified deadline. All refund requests must be submitted within 14 days of the missed deadline and will be adjudicated by Ads By Virtue support within 14 business days. This refund policy does not apply to platform commissions on successfully delivered campaigns.
- Late payments: Brands must fund escrow before a campaign begins. Delays may result in campaign suspension.
- Chargeback liability:If a payment is reversed due to chargeback or fraud, Ads By Virtue may recover the amount from the user's future earnings or invoice directly. Accounts with unresolved chargebacks may be suspended.
7. Intellectual Property
- Your content: You retain ownership of content you create. By posting on the Platform, you grant Ads By Virtue a license to display, distribute, and promote it within the Platform.
- Platform content:The Platform's design, code, logos, and trademarks are owned by Ads By Virtue and may not be copied or used without permission.
- Sponsored content: Usage rights for sponsored content are defined in the campaign agreement. By default, brands receive a license to use delivered content for their marketing purposes.
- DMCA & Repeat Infringer Policy: If you believe your intellectual property has been infringed, contact us at legal@adsbyvirtue.com with a proper DMCA notice. Ads By Virtue maintains a repeat infringer policy: accounts of users who are found to repeatedly infringe the intellectual property of others will be terminated in appropriate circumstances.
8. Limitation of Liability
The Platform is provided "as is" without warranties of any kind. Ads By Virtue is not liable for:
- Content created or published by users.
- Disputes between brands, influencers, or publishers — we provide the platform for resolution but are not a party to individual agreements.
- Indirect, incidental, or consequential damages arising from Platform use.
- Service interruptions due to maintenance, updates, or factors beyond our control.
Our total liability for any claim shall not exceed the amount paid to us in the 12 months preceding the claim.
9. Dispute Resolution
- Platform disputes: For disputes between users, Ads By Virtue provides a mediation process through our support team. We aim to resolve disputes within 14 days.
- Arbitration:Any unresolved disputes arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through binding arbitration in Pakistan, conducted in English by a single arbitrator appointed in accordance with the Pakistan Arbitration Act, 1940 (or its successor). The arbitrator's decision shall be final and binding on all parties, and judgment on the award may be entered in any court having jurisdiction.
- Class Action Waiver:Users agree to bring claims only in their individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration clause shall be null and void.
- Governing law: These terms are governed by the laws of Pakistan, without regard to conflict of law principles.
10. Changes to Terms
We may modify these terms at any time. Material changes will be communicated via email and a prominent notice on the Platform. Continued use after changes take effect constitutes acceptance of the new terms. If you do not agree with changes, you must stop using the Platform and delete your account.

12. Additional Legal Terms
12.1 Indemnification
You agree to indemnify, defend, and hold harmless Ads By Virtue, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your Content, campaigns, or listings, including any claim that your Content infringes a third party's intellectual property rights, privacy rights, or violates applicable law; (d) any misrepresentation of halal certification, Shariah compliance status, or product attributes; or (e) your breach of any obligations to another user of the Platform. Ads By Virtue reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Ads By Virtue in asserting any available defenses.
12.2 Independent Contractor Status
Ads By Virtue provides a technology platform that connects independent users. Nothing in these Terms shall be construed to create an employment, agency, partnership, or joint venture relationship between Ads By Virtue and any Influencer, Brand, Publisher, or other user. Each user is an independent contractor and is solely responsible for: (a) determining and satisfying all tax obligations; (b) obtaining any required licenses, permits, or insurance; (c) complying with all applicable laws regarding their activities on the Platform; and (d) their own work schedule, methods, and tools. Ads By Virtue does not control, supervise, or direct how users perform their services. No user is entitled to employee benefits, workers' compensation, unemployment insurance, or any other employment-related benefits through Ads By Virtue.
12.3 Tax Responsibilities
Each user is solely responsible for determining and satisfying all tax obligations arising from their use of the Platform, including but not limited to income tax, sales tax, VAT, GST, withholding tax, and any other applicable taxes or duties. Ads By Virtue does not withhold taxes on behalf of users unless expressly required by applicable law. Users agree to provide any tax information or documentation reasonably requested by Ads By Virtue for compliance purposes, including but not limited to W-9, W-8BEN, or equivalent forms. Brands acknowledge that all fees paid through the Platform are exclusive of any applicable taxes unless otherwise stated in the campaign agreement.
12.4 Disclaimer of Performance Guarantees
Ads By Virtue does not guarantee any specific results from campaigns, advertisements, or platform usage, including but not limited to impressions, clicks, conversions, sales, engagement rates, follower growth, return on ad spend (ROAS), or revenue. All performance metrics, analytics, and forecasts provided through the Platform are for informational purposes only and may be subject to discrepancies with third-party analytics tools. Ads By Virtue is not responsible for: (a) changes to third-party platform algorithms, policies, or terms that affect content distribution or reach; (b) fluctuations in market conditions, consumer behavior, or seasonal trends; (c) actions of competitors or other users; (d) technical issues with third-party platforms or services; or (e) any other factors outside Ads By Virtue's reasonable control that may impact campaign performance.
12.5 Right to Modify or Terminate Service
Ads By Virtue reserves the right, at its sole discretion and with reasonable notice where practicable, to modify, suspend, or discontinue any aspect of the Platform, including but not limited to features, functionality, pricing, commission rates, payout thresholds, or service offerings. Ads By Virtue also reserves the right to impose limits on certain features, restrict access to parts of the Platform, or terminate any user's access immediately and without prior notice for: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) actions that may subject Ads By Virtue or its users to legal liability; (d) inactivity exceeding 12 consecutive months; or (e) any other reason at Ads By Virtue's sole discretion. Upon termination, the user's right to access the Platform ceases immediately, and the user must cease all use of the Platform.
12.6 General Provisions
Severability: If any provision of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.
Force Majeure: Ads By Virtue shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, public health emergencies, internet or telecommunications outages, power failures, strikes, labor disputes, or failure of third-party service providers.
Entire Agreement: These Terms, together with the Privacy Policy and any campaign-specific agreements entered into through the Platform, constitute the entire agreement between you and Ads By Virtue regarding your use of the Platform. They supersede all prior or contemporaneous agreements, representations, warranties, or understandings, whether written or oral.
Waiver: No failure or delay by Ads By Virtue in exercising any right or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right or remedy shall preclude any other or further exercise thereof. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
Assignment:You may not assign or transfer these Terms, or any rights or obligations hereunder, without Ads By Virtue's prior written consent. Any attempted assignment in violation of this provision shall be void. Ads By Virtue may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
Notices: Legal notices required under these Terms shall be in writing and sent to Ads By Virtue at: legal@adsbyvirtue.com. Notices to users shall be sent to the email address associated with their account or posted prominently on the Platform. Notice shall be deemed effective upon sending for email, and upon posting for Platform notices.
